MAINTENANCE .

The company has to meet some formal requirements to continue its legal existence. Such requirements can differ in jurisdictions, but in most cases the Annual Report is to be filed on the Registrar along with the appropriate government fee is to be paid. The up-to-date facts about company's management board, address and other references data are usually included into the Annual Report.

The standard procedure of company maintenance includes the Annual Fee payments, Registered Address and services of the Registered Agent, providing, submission of the Information Report and provision of the Nominee Services, if required. If applicable, the company accounts are to be prepared and financial statements can be filed. For failure to submit or pay the fee the registry body can impose a penalty and later, the company can be struck off the Register.

Determination of the status of the existing company with the amount of taxes and penalties due and reinstatement of dissolved companies are also available. In some jurisdictions the company can be renewed, if it has never been dissolved. The company keeps its name, file number and date of registration. However it's necessary to keep in mind that the reinstatement of the company is more complicated and expensive process, than a new incorporation.
